Terms of Service
Last updated October 26, 2026
These Terms of Service (the "Terms") are a binding agreement between you and the operators of Noa ("Noa", "we", "us" or "our"). They govern your use of the Noa browser extension, the Noa local helper, the Noa website, the hosted service at app.noa.bot, and any related apps, APIs and features (together, the "Service"). By installing, accessing or using any part of the Service, or by creating an account, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it to these Terms, and "you" includes that organization.
1. Eligibility and accounts
- You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract to use the Service.
- You are responsible for your account, for keeping your sign-in, API keys, recovery words and devices secure, and for everything that happens under your account or through your installation of the extension or helper, whether or not you authorized it.
- Tell us promptly if you believe your account has been compromised. We are not liable for losses caused by unauthorized use of your account or keys.
2. What the Service does, and your authorization
Noa is an AI agent. On your instructions it reads web pages and acts in your browser, using the accounts you are signed in to: it may click, type, fill in forms, submit, post, send messages, download and upload files, run commands through the local helper, and place phone calls. By giving Noa an instruction, or by setting up a scheduled or automated task, you authorize it to take the actions it takes to carry that instruction out.
- Noa acts as you, not as us. Every action Noa takes is taken on your behalf and at your direction. You are solely responsible for those actions and their consequences, including anything posted, sent, purchased, submitted, deleted or agreed to, as if you had done it yourself.
- Supervise it. You are responsible for reviewing Noa's work and for using the approval and stop controls the Service provides. Do not give Noa tasks whose results you cannot afford to have go wrong without checking them first.
- Your local helper runs on your computer. If you install the helper, it can read and write files and run programs on your computer with your user's permissions. You install and run it at your own risk.
3. AI output is not guaranteed
The Service relies on AI models that are probabilistic and can be wrong. Noa may misread a page, misunderstand an instruction, click the wrong thing, act on outdated information, state things that are untrue, or fail to finish a task. You acknowledge that:
- Output and actions from the Service may be inaccurate, incomplete, offensive or unsuitable, and you must evaluate them before relying on them.
- The Service does not give legal, medical, financial, tax or other professional advice, and nothing it says or does is a substitute for a qualified professional.
- You must not use the Service where a failure, error or delay could lead to death, personal injury, or serious physical, environmental or financial harm, including operating vehicles, medical devices, critical infrastructure or weapons, or making decisions with legal or similarly significant effects on other people.
4. Websites and services you use with Noa
Noa works on websites and services run by other people. We do not control them and are not responsible for them, their content, their availability, or how they respond to automation. Some websites prohibit automated access in their own terms. You are solely responsible for complying with the terms of every website and service you use Noa on, and for any consequence of using Noa there, including account suspension, lost access, or charges.
5. Phone calls, messages and voice
- Not for emergencies. The Service cannot be used to reach emergency services (such as 911, 112 or 999). Never rely on Noa to make an emergency call.
- You are solely responsible for every call and message Noa makes or sends for you, including obtaining any consent required by law to call, message or record a person, and for complying with telemarketing, anti-spam, call recording, consumer protection and privacy laws that apply to you and to the person contacted.
- Calls placed by Noa use an AI voice. You must not use it to impersonate another person or to deceive anyone about who is calling or why.
6. Acceptable use
You must not use the Service, or let anyone else use it, to:
- break any law or regulation, or infringe anyone's intellectual property, privacy or other rights;
- send spam or unsolicited bulk messages or calls, or harass, threaten, defraud, scam or impersonate anyone;
- get around security measures, CAPTCHAs, paywalls, rate limits or access controls, or access accounts, systems or data you are not authorized to access;
- scrape or collect personal data in violation of law or of a website's terms;
- create, distribute or deploy malware, or interfere with or disrupt the Service or any network or system;
- generate child sexual abuse material, or any other content that is illegal;
- resell, sublicense or share access to the hosted service, or abuse free trials, credits or promotions; or
- reverse engineer, probe or load-test the hosted service, except as the open-source license below allows for the open-source code.
You must also comply with the usage policies of the AI providers the Service relies on. We may investigate suspected violations and may suspend or terminate access, remove content, and cooperate with law enforcement, without notice and without liability to you.
7. Your content
You keep whatever rights you have in the instructions, files, chats, memory and other material you provide to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process and display Your Content, and to pass it to our service providers, only as needed to operate, secure, support and improve the Service and as described on our privacy page. You represent that you have all rights needed to provide Your Content and to have Noa act on it, and that doing so does not violate any law or anyone's rights.
You are responsible for keeping your own copies of anything important. If you turn on end-to-end encryption, we cannot read or recover your encrypted data, and if you lose your recovery words that data is lost. We are not liable for any loss of Your Content.
If you send us suggestions or feedback, we may use them for any purpose without obligation to you.
8. The open-source software
The Noa extension and local helper are open source under the MIT license. That license governs your use, copying, modification and distribution of that source code, and, as it says, the code is provided without warranty of any kind. These Terms govern your use of everything else, including the hosted service, your account, and Noa's names, logos and branding, which the license does not grant you any right to use. If you install a build of the extension or helper that we did not publish, you do so at your own risk.
9. Plans, usage credit and payment
- Subscriptions. Paid plans are billed in advance, monthly, through our payment processor Stripe, and renew automatically at the then-current price until you cancel. By subscribing, you authorize us to charge your payment method each period. Cancel at any time from the dashboard; cancellation takes effect at the end of the period you have paid for.
- Usage credit. Each plan's monthly usage credit is granted at the start of the billing period and does not carry over. Top-ups are one-time purchases of usage credit and do not expire while your account remains open. Hosted AI, voice, phone calls and other metered features are charged against your credit at the rates shown in the dashboard. When your credit runs out, metered features stop until you add credit or your plan renews.
- No cash value. Usage credit is a prepaid right to use the Service. It has no cash value, cannot be transferred, sold or exchanged for money, and is forfeited if your account is deleted or terminated.
- Refunds. Except where required by law, all fees are non-refundable, including for partial billing periods, unused credit, and credit consumed by tasks that did not turn out as you wanted. If a payment is refunded or disputed, we may remove the credit it bought.
- Price changes. We may change prices, plans and usage rates. Changes to your subscription price take effect at your next billing period after we give you notice, and you may cancel before then.
- Taxes. Prices are in US dollars and exclude taxes unless stated. You are responsible for any taxes that apply to your purchases.
10. Third-party providers
The hosted service relies on third-party providers, including Anthropic, OpenAI, TypeSafe, Google, Cloudflare, Twilio and Stripe. If you bring your own AI subscription or API key, your use of that provider is governed by your own agreement with it, and you are responsible for its charges. We are not responsible for any third-party service, including outages, changes, or its handling of data. The privacy page explains what each provider receives.
11. Changes to the Service; beta features
We may add, change, limit or remove any feature, model, provider or part of the Service, or stop offering it, at any time. Features marked as beta, preview, experimental or similar are provided for evaluation, may be unreliable, and may change or be withdrawn without notice.
12. Suspension and termination
You may stop using the Service and delete your account at any time from the dashboard. We may suspend or terminate your access to the hosted service at any time, with or without notice, if we believe you have violated these Terms, if your use creates risk or possible legal exposure for us or others, if required by law, or if we stop offering the Service. Sections 2 through 4, 7, 9 (as to amounts owed and the refund terms) and 13 through 17 survive termination.
13. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT AND ACTIONS IT PRODUCES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT IT WILL WORK ON ANY PARTICULAR WEBSITE, THAT ANY TASK WILL BE COMPLETED CORRECTLY OR AT ALL, OR THAT ANY DATA WILL BE KEPT OR NOT LOST. YOU USE THE SERVICE AT YOUR OWN RISK.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NOA, ITS OPERATORS, CONTRIBUTORS, AFFILIATES, OR THEIR OFFICERS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, OR FOR UNAUTHORIZED PURCHASES, MESSAGES, POSTS OR OTHER ACTIONS TAKEN THROUGH THE SERVICE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (US$50).
Some jurisdictions do not allow certain warranties to be excluded or liability to be limited, so some of the above may not apply to you. In that case our liability is limited to the smallest extent the law permits.
15. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless Noa, its operators, contributors, affiliates, and their officers, employees and agents from and against any claims, liabilities, damages, losses, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service; any action Noa takes on your instructions; Your Content; your violation of these Terms, of any law, or of any website's or service's terms; or your violation of anyone's rights, including any person Noa calls or messages for you.
16. Disputes
Before bringing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. To the fullest extent permitted by law, any claim must be brought in your individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and must be brought within one year after it arose, or it is permanently barred.
17. General
- These Terms, together with any terms shown when you buy a plan, are the entire agreement between you and us about the Service and replace any earlier agreement on that subject.
- If any part of these Terms is found unenforceable, it will be enforced to the maximum extent possible and the rest stays in effect. Our failure to enforce any part is not a waiver.
- You may not assign or transfer these Terms without our consent. We may assign them, including in connection with a merger, acquisition or sale of assets.
- We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of our providers, the internet, or the websites Noa works on.
- Nothing in these Terms creates a partnership, employment, agency or fiduciary relationship between you and us.
18. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the date at the top of this page, and for material changes we may also notify you through the Service or by email. Your continued use of the Service after the updated Terms take effect means you accept them. If you do not agree to the updated Terms, stop using the Service and cancel any subscription.
